What do private equity buyers look for in a GCC business?
Scale, a strong position in their market and a clear plan for the next five years. According to AGBI, Investcorp is focusing on professional, commercial and healthcare services, IT services and transportation, and is avoiding large data-centre bets. Both businesses were built over decades: REDA Gulf since 1986, and Metra across three generations of one family. Thara Future Investments said the plan for REDA Gulf is to "build a Saudi national champion".
A pre-IPO fund invests before a company lists on a stock market. For an owner, that means the investor expects to grow the business and exit within a few years, usually through an IPO or a sale to a larger buyer.
Should I sell a minority stake or the whole business?
It depends on what you want next. A minority stake brings in capital and expertise while you keep control and stay involved. A full sale gives you a clean exit. Private equity firms do both, and they often join with local partners, as in the REDA Gulf consortium. See our guide to the
best ways to find buyers for a GCC business for the other buyer types worth comparing.
Checklist: preparing a GCC business for a private equity investor
- Show at least three years of audited accounts, with growth you can explain.
- Build a five-year plan with clear targets for revenue, margin and expansion.
- Make sure the business can run without the founder in every decision.
- Put governance in place: a board, monthly reporting and documented policies.
- Fix legal and licensing gaps before an investor finds them. Pre-auditing your business shows you what due diligence will uncover.
- Get an independent market value assessment so you know your number before the first meeting.
- Decide what you want: growth capital, partial liquidity or a full exit.
